Introduction

 

Phytotec Hungária Bt. aims to operate in a fair, transparent, and responsible manner. This Code of Ethics was created to provide guidance to all our employees, leaders, and cooperating partners on how to behave ethically, lawfully, and responsibly in our daily work. The purpose of the Code is to support the company’s culture, promote trust-based business relationships, and ensure that all activities of Phytotec Hungária Bt. are in harmony with legal regulations, societal expectations, and the principles of sustainable development. If our employees encounter a situation not mentioned in the Code, the general behavioral guideline is that in any decision-making situation, each colleague must consider whether their decision is lawful, ethical, and aligned with the company’s interests.

1.      Principles

  • Integrity and legal compliance.
  • Every member of the company is obliged to comply with applicable laws, regulations, and industry standards.
  • We conduct our business activities according to the highest ethical standards – whether it is purchasing, marketing, or sales. Our supporting departments, such as our medical or financial departments, also work according to these principles.
  • We do not engage in unethical, unfair, or unlawful behavior either within the organization or in external relations.

2.      Responsibility and Transparency

  • We communicate all our decisions transparently to the affected parties.
  • We act responsibly, keeping in mind the balance between the interests of the company, partners, and society.
  • We pay special attention to ensure that our decisions do not create misleading or ambiguous impressions.

3.      Integrity

  • In our work, we avoid all forms of conflict of interest, corruption, undue advantage, or influence.
  • We do not accept or offer gifts, benefits, discounts, or any advantages that could exert unethical influence on our decisions.
  • In all cases, we prioritize the company’s interests, fairness, and objectivity.

4.      Competition

  • We compete fairly with our competitors and do not use unfair means.
  • In market competition, we avoid any behavior that violates the rules of competition. We avoid deceptive, misleading, or unfair business practices.
  • We respect the rules of market competition and antitrust laws.
  • We do not engage in or support any cooperation aimed at restricting free competition.

5.      Communication

  • We expect all colleagues to represent Phytotec’s interests during their work, communicate purposefully according to their role during negotiations, and not disclose company information or positions to third parties without authorization.
  • When using social media platforms—whether for work-related or personal use—colleagues are obliged to respect Phytotec’s ethical standards, personal rights, and data protection regulations.

6.      Confidentiality and Data Protection

  • Phytotec Hungária Bt. treats all business and personal information confidentially. Information, ideas, solutions, marketing and business plans, sales, employee, partner, and physician data generated during daily work are the property of Phytotec and must be kept confidential during and after employment.
  • Personal data is always handled in accordance with applicable data protection laws (GDPR).
  • During data processing, we ensure access based on authorization, data security, and transparency.

7.      Human Rights, Respect, and Diversity

  • We recognize, respect, and protect the dignity and fundamental rights of every individual.
  • We reject all forms of discrimination, harassment, or disadvantage based on gender, age, ethnicity, religion, gender identity, disability, marital status, or other personal characteristics.
  • We support diversity, inclusion, and respectful communication in every work environment.

 

8.      Health, Safety, and Environmental Protection

  • We are committed to preserving the health and safety of our employees.
  • We comply with occupational safety, security, and environmental regulations.
  • In our activities, we minimize environmental impact and comply with industry and legal environmental standards.

9.      Protection of Privacy

  • Phytotec respects the right to privacy and promotes the protection of family and personal life. At the same time, we expect that employees’ behavior outside working hours does not conflict with their employment obligations at Phytotec or harm the company’s reputation.

10. Political Activity

  • Phytotec encourages its employees to exercise their democratic rights guaranteed by local laws and participate in public life, but only as private individuals. No such activity may be conducted on behalf of Phytotec.
  • If any employee engages in political activity, it must comply with legal regulations, Phytotec’s internal policies, and this Code of Ethics, and must not result in a conflict of interest with their employment status at Phytotec. Political campaigning or activity during working hours is prohibited.

11. Reporting Channels

  • Every employee is entitled and obliged to report any ethical or legal violation or misconduct.
  • Reports may be made by employees, former employees, subcontractors, persons under their supervision, interns, and volunteers. The scope of eligible reporters is defined in Act XXV of 2023, Section 20 (2) and (3).
  • When making a report, the reporter must declare that the report is made in good faith and with reasonable belief that the circumstances described are true. Malicious reports are not protected.
  • The company operates the following ethical reporting channels, which ensure anonymity and independent investigation:

    • Reports are treated confidentially, and the reporter shall not suffer any disadvantage due to a good-faith report. Detailed information about reporting is available on the Phytotec website.

12. Relations with Partners and Suppliers

  • We engage with our suppliers and partners in a manner that aligns with our ethical principles: transparent contractual terms, competitive offers, and fair negotiations.
  • We select our business partners and suppliers based on ethical, transparent, and objective principles.
  • In our contractual relationships, we ensure fair negotiation conditions and equal treatment.

13. Obligations and Responsibilities

  • Employees are obliged to act ethically, know and comply with the Code, and participate in necessary training.
  • Violation of the Code cannot be excused by ignorance.
  • Leaders are responsible for setting an example, supporting compliance with the Code, and ensuring that their subordinates understand our expectations.

 

14. Sanctions

Violations of the Code of Ethics carry consequences proportional to the severity of the misconduct: warning, reprimand, disciplinary action, or even termination of contract.

In cases of serious unlawful acts (e.g., corruption, fraud), legal action will be taken.

 

15. Publication and Maintenance

 The Code must be provided to every new employee, and its acknowledgment must be confirmed in writing.

The Code is reviewed annually or upon significant legal or business environmental changes.
